1. Owner
AI Business Protocol is a brand commercially operated by BaseMundo LLC, an entity registered in New Mexico, United States, number 0008107458.
Contact: sales@aibusinessprotocol.com.
2. B2B scope
The services are intended for businesses and professionals contracting in the course of their business or professional activity. This package is not designed for consumer contracting.
3. Contracting
Services are formalised through a proposal, Order Form or Statement of Work, as applicable.
The accepted specific document defines the parties, scope, deliverables, price, currency, taxes, payments, dependencies, acceptance criteria and exclusions. Specific terms prevail over general website information.
4. Service pathway
AI Opportunity Audit → Starter, Growth, Growth Plus or Growth Enterprise → AI Operations.
Each stage is independent unless the proposal expressly establishes another relationship.
5. Cancellation and refunds
Before the service is provided, cancellation terms are governed by the applicable checkout, proposal or SOW.
This does not limit remedies for non-delivery, material breach, non-conformity with the agreed scope or rights that cannot be excluded by law.
6. Credits between stages
Applicable credits and discounts are those expressly stated in the current offer, subject to its conditions.
7. Price, taxes and third parties
The applicable price is the price accepted at checkout or in the proposal. Licences, APIs, cloud services, external tools, travel or additional work are included only when expressly stated. B2B status does not automatically imply tax exemption.
8. Client responsibilities
The client must provide reasonably accurate information, have authorisation to share data and access, appoint responsible contacts and communicate material changes.
9. Timelines
Timelines depend on the availability of prerequisites, access, data and approvals. A client dependency may shift the schedule.
10. Acceptance and scope changes
Deliverables are reviewed against the criteria defined in the SOW. A new preference or extension is not automatically considered a defect in the initial scope. Material changes are documented before execution.
11. Data, security and AI
The use of personal data is governed by the privacy policy and, where ABP acts as a processor, by the applicable DPA.
AI tools may produce errors. Results are reviewed according to risk, and sensitive actions are subject to permissions and human controls.
12. Intellectual property
Each party retains its pre-existing materials. The client retains its data and content. ABP retains reusable methodologies, protocols, templates, generic components and know-how. Rights in specific developments are defined in the SOW.
13. Confidentiality
Confidential information is used solely to assess, contract for or provide the services. Where necessary, the parties may sign a specific NDA.
14. External providers
Third-party tools are subject to their own terms and availability. If a material change affects the service, ABP will assess a reasonable fallback.
15. Warranties and limitations
Unless specifically agreed in writing, ABP does not guarantee ROI, increased sales or profit, absolute accuracy of AI systems or 24/7 availability.
16. Liability
The complete liability framework is set out in the applicable MSA/SOW. Nothing in these terms is intended to limit liabilities that cannot be excluded by law.
17. Governing law and disputes
The specific contract may define the applicable law and forum. Internal version V1 uses New Mexico as the default reference, subject to mandatory rules and the terms agreed in the SOW.
